Terms & Conditions
Agreement to These Terms
We are Fintech Holdings LLC, doing business as RebelText ("RebelText," "we," "us," "our"), a company registered in New York, United States, at 1010 Broadway, Woodmere, NY 11598.
These Terms & Conditions (the "Terms") are a legally binding agreement between you, the business or person that opens a RebelText account ("you," "Customer"), and Fintech Holdings LLC. They govern your use of the website at https://rebeltext.com (the "Site"), the RebelText customer console, the RebelText API, and every related service we provide (together, the "Services").
By creating an account, signing in, or using the Services, you confirm that you have read, understood, and agree to these Terms, our Privacy Policy and our Refund Policy. If you are accepting on behalf of a business, you confirm that you have authority to bind that business. If you do not agree, you may not use the Services.
We may update these Terms from time to time. We will post the new version on this page with a new effective date, and we will tell you by email before a material change takes effect. Continuing to use the Services after a change takes effect means you accept it.
The Services are for businesses and for people aged 18 or over acting for a business. They are not for personal or household use.
Our Services
RebelText is an SMS messaging platform. Through the console and the API, it lets you send and receive SMS text messages using phone numbers we assign to your account, and it gives you delivery reports, message logs and usage analytics.
RebelText is SMS only. We do not provide voice calling, and we do not provide telephone support.
The Services are offered for messaging to and from the United States. You are responsible for complying with the laws that apply to you and to the people you message.
Accounts and Approval
Every RebelText account must be approved by us before it can send messages. We review the information you give us about your business, your use case and your messaging, and we may approve or decline any application, or ask for more information, at our discretion.
You agree that all information you give us, during approval and afterwards, is true, accurate, current and complete, and that you will keep it up to date. If it is not, we may suspend or close your account.
You are responsible for everything done through your account, including through your API keys. Keep your passwords and API keys confidential, and tell us immediately at support@rebeltext.com if you believe your account or any key has been compromised. You may not share, sell or transfer your account.
Brand and Campaign Registration
Carriers in the United States require business messaging on standard phone numbers to be registered under the 10DLC program.
- Your own registration. Every RebelText customer is registered under their own 10DLC brand and campaign, in their own legal business name. We never send your messages under another customer's registration or under a shared or RebelText registration.
- Accurate information. You must give us accurate details for registration, including your legal business name, tax identification number, address, website, use case, sample messages and how you collect consent. You authorize us to submit these details to The Campaign Registry, carriers and our messaging providers on your behalf.
- Approval and suspension by carriers. Carriers and The Campaign Registry decide whether to approve your brand and campaign, and they set the throughput and daily limits that apply to them. If your brand or campaign is rejected, suspended or deactivated, your sending stops until the problem is resolved. We are not liable for any decision a carrier or The Campaign Registry makes.
- Sending within your campaign. You may only send messages that match the use case and sample messages registered for your campaign.
Plans and Fees
Plans
The Services are offered on monthly plans. Each plan fee covers access to the platform, phone numbers, and API access. Messages are billed separately, as described under Messaging Charges.
| Plan | Monthly fee | API keys included |
|---|---|---|
| Starter | $99 | 3 |
| Growth | $199 | 10 |
| Scale | $499 | 25 |
Other fees
- Setup fee: a one-time fee of $150 when your account is opened. We waive it for customers who sign a written monthly volume commitment with us.
- Additional phone numbers: $59 per block of 49 numbers.
- Additional API keys: $5 for each API key above the number your plan includes.
Throughput is set per phone number and by the limits carriers assign to your campaign. Adding numbers can increase your sending capacity, up to your campaign's carrier limits.
Billing and renewal
Plan fees are billed monthly in advance and renew automatically until you cancel. You authorize us to charge your payment method for each renewal without asking you each time. You can cancel at any time from your console; cancellation takes effect at the end of the current billing period, and you remain responsible for all charges incurred before then.
We do not offer a free plan or a free trial.
Messaging Charges
Price per segment
Outbound SMS messages are charged per segment. Your price per segment for each calendar month is set by the number of segments your account sent in the previous calendar month:
| Segments sent last month | Price per segment |
|---|---|
| Under 500,000 | $0.015 |
| 500,000 to 1,000,000 | $0.0125 |
| 1,000,000 to 3,000,000 | $0.011 |
| 3,000,000 and up | $0.010 |
A new account is charged at the first tier until it has a full previous month of sending. We may also assign your account a tier, or a lower price under a signed monthly volume commitment. A price agreed under a signed commitment applies only on the terms of that commitment.
Inbound messages
Messages you receive on your RebelText numbers are charged per segment at the inbound price shown in your console.
Segments
A message is split into segments by the carrier network. A message using the standard GSM-7 character set is one segment up to 160 characters; a longer message is split into segments of up to 153 characters each. A message containing any character outside GSM-7, such as an emoji or many non-English characters, is encoded as Unicode, and is one segment up to 70 characters, or segments of up to 67 characters each when longer. Your console and the API show the number of segments for every message.
Undelivered messages are charged
Every message we submit to a carrier is charged, whether or not it is delivered. This includes messages that are undelivered, rejected or filtered by a carrier, sent to an invalid, unreachable or opted-out number, or that never receive a final delivery report. We are charged for every attempt, and so are you.
A message that fails before we submit it to a carrier, because of an error on our side, is not charged.
Price changes
We may change plan fees, fees and messaging prices. We will tell you by email before a change takes effect. A change does not apply to charges already incurred.
Payment
Prepaid balance
The Services are prepaid. You add funds to your account balance by card, and messaging charges are deducted from that balance as you send and receive. When your balance cannot cover a message, it is not sent.
We do not offer postpaid billing, invoicing on credit, or net payment terms.
Your balance is held in US dollars and is not a deposit, is not interest-bearing, and cannot be transferred to another account or exchanged for cash, except as set out in our Refund Policy.
Card payments
We accept payment by credit and debit card, processed by our payment provider, Stripe. You authorize us and Stripe to charge your card for plan fees, other fees, and the top-ups you choose. You agree to keep your payment details current. All amounts are in US dollars, and applicable taxes are added where required.
We may correct any error in pricing or in a charge, even after a payment has been made.
No Chargebacks
All plan fees, fees and balance top-ups are for digital services that are delivered immediately. Except as set out in our Refund Policy, they are final and non-refundable.
If you believe a charge is wrong, you must contact us at support@rebeltext.com and give us the chance to resolve it in good faith before you open a dispute or chargeback with your bank or card issuer.
A chargeback for a transaction that was processed correctly and delivered according to these Terms is a material breach of these Terms. We may immediately suspend or close your account, and you agree to be liable for:
- the full amount of the original transaction;
- any chargeback or administrative fees we incur because of the dispute;
- our reasonable legal fees, court costs and collection costs in enforcing this section; and
- any other losses the dispute causes us.
When responding to a dispute, we may provide evidence of the service delivered, including your account status, message logs, phone number assignments and console access records.
Your Data
You own your data
You own your contacts, recipient lists and message content, and any other data you send to or through the Services ("Customer Data"). We hold and process Customer Data only to provide the Services to you, which includes delivering your messages, showing you logs and reports, registering your brand and campaign, billing, preventing fraud and abuse, and meeting our legal and carrier obligations.
We do not sell Customer Data, and we do not use your contacts or message content to market to them or to anyone else.
Licence you give us
You give us a non-exclusive licence to host, copy, transmit and process Customer Data as needed to provide the Services. You authorize us to share it with carriers, The Campaign Registry, and the messaging and infrastructure providers we use to deliver the Services.
Records
We keep message records and logs for as long as needed to provide the Services, to resolve disputes, and to meet legal and carrier requirements, as described in our Privacy Policy. You are responsible for keeping your own copies of any data you need. We are not liable for any loss or corruption of Customer Data, except as caused by our own gross negligence or wilful misconduct.
Your Content and Consent
You are the sender of every message sent through your account, and you are solely responsible for it. For every message, you represent and warrant that:
- Consent. You have obtained, and can prove, every consent the law and carrier rules require from the recipient, including prior express written consent where the Telephone Consumer Protection Act (TCPA) requires it. You keep records of that consent and will give them to us on request.
- Accuracy. The message is accurate, is not misleading, and clearly identifies your business.
- Legality. The message, and your business, comply with every applicable law and regulation, including the TCPA, the CAN-SPAM Act where it applies, state telemarketing and messaging laws, and laws on quiet hours, and with the CTIA Messaging Principles and Best Practices and each carrier's code of conduct.
- Opt-outs. You honour every opt-out request, both the ones we capture and the ones you receive directly, and you do not message anyone who has opted out.
You agree to defend, indemnify and hold us harmless from any claim, fine, penalty, carrier charge, loss or cost, including reasonable legal fees, arising from your messages, your Customer Data, your consent practices, or your breach of this section. This obligation is in addition to the general Indemnification below.
Opt-Outs
We honour opt-outs at the platform level. When a recipient replies STOP, or another standard opt-out keyword such as STOPALL, UNSUBSCRIBE, CANCEL, END or QUIT, to any of your numbers, we stop all further messages from your account to that recipient, regardless of your own contact lists.
You cannot override or remove a platform-level opt-out. Only the recipient can reverse it, by replying START or another standard opt-in keyword.
Messages blocked because a recipient has opted out are not sent.
Prohibited Use
You may not use the Services, or allow anyone else to use them, to send or do any of the following:
- scams, fraud, or misleading or deceptive content of any kind;
- phishing, including links or content intended to collect passwords, financial details or other personal information under false pretences;
- impersonation of any person, business, government body or brand;
- malware, or links to malware or to deceptive websites;
- messages to anyone who has not given the consent required by law and carrier rules, or who has opted out;
- purchased, rented, shared or scraped contact lists;
- content prohibited by law, by the CTIA Messaging Principles and Best Practices, or by any carrier's code of conduct;
- hateful, harassing, threatening, sexually explicit or violent content;
- "snowshoeing," or spreading messages across numbers, accounts or campaigns to avoid filtering or limits;
- messages that do not match your registered campaign's use case;
- any traffic that, in our judgment, puts our relationships with carriers or messaging providers at risk.
You also may not:
- resell or sublicense the Services, or let a third party send under your account, brand or campaign, without our written approval;
- interfere with, overload, probe or attempt to bypass the security or limits of the Services;
- copy, decompile or reverse engineer the Services, except as the law allows;
- use the Services to build a competing product; or
- access the Services by automated means other than the API, as documented.
Suspension and Termination
Immediate suspension
We may suspend your account, your numbers or your sending immediately and without notice if:
- your carrier complaint rate, opt-out rate or error rate is, in our judgment, too high;
- you send scam, misleading or deceptive content;
- you send phishing links or content;
- you impersonate any person, business, government body or brand;
- a carrier, The Campaign Registry or a messaging provider suspends or flags your brand, campaign or numbers, or asks us to stop your traffic;
- your traffic, in our judgment, puts our relationships with carriers or messaging providers at risk;
- you breach these Terms, or we reasonably suspect you have; or
- we are required to by law.
Charges for messages already sent are not refunded when your account is suspended.
Termination
You may close your account at any time by contacting support@rebeltext.com. We may close your account for any breach of these Terms, or for any other reason with notice to you by email.
If we close your account because you breached these Terms, any remaining balance is forfeited. If we close your account for any other reason, the Refund Policy applies to your remaining balance.
If we suspend or close your account for a breach, you may not open a new account, whether in your own name, another name, or on behalf of another business, without our written permission. We may also take legal action, including reporting unlawful activity to law enforcement.
Support
We provide support by email at support@rebeltext.com and by support ticket from the customer console, during business hours. We do not provide telephone support.
Availability
We work to keep the Services available and delivering, but we do not guarantee that they will be uninterrupted, error-free, or that any message will be delivered within a given time, or at all. Delivery depends on carriers and networks outside our control. We may carry out maintenance, and we may change, add or remove features of the Services.
Intellectual Property
We own, or are licensed to use, the Services and everything in them, including software, databases, designs, text, graphics, trademarks and logos, other than Customer Data. Subject to these Terms, we give you a limited, non-exclusive, non-transferable, revocable right to use the Services for your internal business purposes while your account is open.
If you send us feedback or suggestions about the Services, we may use them without any obligation to you.
Disclaimer
The Services are provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Services will meet your requirements, that any message will be delivered, or that the Services will be free of errors, interruptions or harmful components.
Limitation of Liability
To the fullest extent the law allows, we and our directors, employees and agents will not be liable to you or to any third party for any indirect, consequential, exemplary, incidental, special or punitive damages, including lost profits, lost revenue or lost data, arising from your use of the Services, even if we were told such damages were possible.
To the fullest extent the law allows, our total liability for any claim arising from these Terms or the Services is limited to the amount you paid us in the three (3) months before the event giving rise to the claim.
Indemnification
You agree to defend, indemnify and hold harmless us, our affiliates, and our respective officers, employees, agents and partners from any loss, damage, liability, claim, fine, penalty or demand, including reasonable legal fees, made by any third party, carrier or regulator and arising from:
- your use of the Services;
- your messages and your Customer Data;
- your breach of these Terms, including your representations and warranties; or
- your violation of any law or of the rights of any third party.
We may take control of the defence of any such claim at your expense, and you agree to cooperate with us.
Privacy
Our Privacy Policy explains how we collect and use personal information, and forms part of these Terms. The Services are hosted in the United States.
Account Messages from Us
We may send you account, billing and security messages by email, and by SMS to the phone number on your account. Message and data rates may apply. You can stop SMS messages from us at any time by replying STOP. For help, reply HELP or email support@rebeltext.com.
You agree that notices, agreements and records we provide electronically satisfy any legal requirement that they be in writing.
Disputes
Governing law
These Terms are governed by the laws of the State of New York, without regard to its conflict of law rules.
Informal negotiation
You and we agree to first try to resolve any dispute arising from these Terms or the Services (a "Dispute") informally for at least thirty (30) days, starting from written notice by either side, before starting arbitration.
Binding arbitration
If a Dispute is not resolved informally, it will be finally resolved by binding arbitration under the Commercial Arbitration Rules of the American Arbitration Association ("AAA"). YOU UNDERSTAND THAT WITHOUT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration will take place in New York, New York, unless the parties agree otherwise, and may be conducted by video conference or on written submissions. The arbitrator's decision will be in writing and may be entered as a judgment in any court with jurisdiction.
If a Dispute proceeds in court rather than arbitration, it will be brought in the state or federal courts located in New York, and both parties consent to the jurisdiction of those courts.
No class actions
Any Dispute will be resolved individually. No Dispute may be arbitrated or litigated as a class action, joined with any other proceeding, or brought in a representative capacity.
Exceptions
Disputes about intellectual property rights, about unauthorized use of the Services, and claims for injunctive relief are not subject to informal negotiation or arbitration.
Miscellaneous
These Terms, together with our Privacy Policy, our Refund Policy and any signed commitment or order form between you and us, are the entire agreement between you and us about the Services. If a signed commitment conflicts with these Terms, the signed commitment applies for the matters it covers.
If any part of these Terms is found unenforceable, the rest remains in effect. Our failure to enforce any provision is not a waiver of it. We may assign these Terms; you may not assign them without our written consent. We are not liable for any failure or delay caused by events beyond our reasonable control. Nothing in these Terms creates a partnership, joint venture, employment or agency relationship.
